End-User License Agreement (EULA) of Aelo — AI Call & Chat Analytics
1. Agreement
This End-User License Agreement ("EULA") is a legal agreement between you and Auspex Streamline S.L. ("Auspex", "we", "us").
This EULA agreement governs your acquisition and use of our Aelo — AI Call & Chat Analytics software ("Software") directly from Auspex Streamline S.L. or indirectly through an Auspex Streamline S.L. authorized reseller or distributor (a "Reseller").
Please read this EULA agreement carefully before adding and using the Aelo — AI Call & Chat Analytics software. It provides a license to use the Aelo — AI Call & Chat Analytics software and contains warranty information and liability disclaimers.
How the Software is delivered. The Software is not downloaded to, or installed on, your systems. It runs on infrastructure operated by Auspex Streamline S.L. and is displayed inside your Bitrix24 portal; adding it from the marketplace registers the application with your portal and grants it the permissions described in Section 2. Each time you open it, the current version is served from our infrastructure — you do not obtain, retain or select a copy of it.
If you register for a free plan or a free trial of the Aelo — AI Call & Chat Analytics software, this EULA agreement will also govern that plan or trial. By adding and/or using the Aelo — AI Call & Chat Analytics software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.
If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not add or use the Software, and you must not accept this EULA agreement.
This EULA agreement shall apply only to the Software supplied by Auspex Streamline S.L. herewith regardless of whether other software is referred to or described herein. The terms also apply to any Auspex Streamline S.L. updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.
2. License Grant
Auspex Streamline S.L. hereby grants you a non-transferable, non-exclusive licence to use the Aelo — AI Call & Chat Analytics software on your Bitrix24 in accordance with the terms of this EULA agreement.
You are permitted to add the Aelo — AI Call & Chat Analytics software to a Bitrix24 portal under your control. You are responsible for ensuring your Bitrix24 and internet browser meet the minimum requirements of the Aelo — AI Call & Chat Analytics software.
Adding the Software grants it access to the Bitrix24 permissions (scopes) presented to you at that point. You may withdraw that access at any time by removing the Software from your Bitrix24.
3. Relationship to the Aelo Service
The Software is a client application for the Aelo cloud service, operated by Auspex Streamline S.L. The Software has no analytical capability of its own: call and chat analysis is performed by the Aelo service. An active Aelo account is therefore required for the Software to function, and the account is created for you when you first open the Software inside your Bitrix24.
The Aelo service is offered on a freemium basis: every workspace includes 100 analyzed minutes per month at no charge and without a payment card, and paid subscription plans start at USD 59 per month as at the date of this agreement. Plans, included minutes and per-minute rates as published from time to time at aelo.cloud/en/pricing are the current and authoritative figures; changes to pricing are made in accordance with Section 9 of the Terms of Service.
Your use of the Aelo service — including subscriptions, billing, service levels and support — is governed by the Aelo Terms of Service. Where this EULA and the Terms of Service address the same subject in relation to the service, the Terms of Service prevail. This EULA governs the Software itself.
4. Restrictions
You are not permitted to:
- Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things
- Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose
- Allow any third party to use the Software on behalf of or for the benefit of any third party
- Use the Software in any way which breaches any applicable local, national or international law
- Use the Software for any purpose that Auspex Streamline S.L. considers is a breach of this EULA agreement
5. Intellectual Property and Ownership
Auspex Streamline S.L. shall at all times retain ownership of the Software, in every version of it made available to you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of Auspex Streamline S.L. Nothing in this EULA transfers to you a copy of the Software or any right in it beyond the licence granted in Section 2.
Auspex Streamline S.L. reserves the right to grant licences to use the Software to third parties.
Your data — including call recordings, transcripts and the analyses produced from them — remains yours. This EULA grants Auspex no ownership of it.
6. Data and Privacy
The Software reads data from your Bitrix24 and transmits parts of it to the Aelo service for analysis. What it reads, what leaves your portal, what it writes back, and for how long data is kept are described in the Privacy Policy for Aelo — AI Call & Chat Analytics.
Where the Aelo service processes personal data on your behalf, Auspex acts as processor and you act as controller. The applicable terms are set out in the Data Processing Agreement, and the third parties involved are listed at Sub-processors.
You are responsible for obtaining the consents required in your jurisdiction before recording calls and before submitting them for analysis, and for informing call participants and employees that recordings are analyzed using AI.
7. Disclaimer of Warranties
The Software — the Bitrix24 application itself — is provided "as is" and "as available". To the maximum extent permitted by applicable law, Auspex Streamline S.L. disclaims all warranties in respect of the Software, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Auspex does not warrant that the Software will be uninterrupted, error-free, or compatible with every configuration of Bitrix24 or of the telephony systems connected to it.
This section does not narrow the warranties Auspex gives for the Aelo service in Section 13 of the Terms of Service, which continue to apply on their own terms.
AI accuracy. The Software presents results produced by artificial intelligence. Quality scores, sentiment ratings, deal-probability estimates and similar metrics are probabilistic and are not guaranteed to be accurate or complete. They must not be used as the sole basis for decisions affecting individuals, including employment decisions.
Nothing in this section limits rights you may have as a consumer under mandatory law.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Auspex Streamline S.L. shall not be liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or business opportunity, arising out of or in connection with the Software.
Monetary limits on Auspex's liability in connection with the Aelo service, and the exceptions to those limits, are set out in Section 11 of the Aelo Terms of Service and apply here. Liability for fraud, wilful misconduct, and any liability that cannot be excluded under applicable law — including statutory liability under applicable data protection laws — is not excluded or limited.
9. Termination
This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Auspex Streamline S.L., or by removing the Software from your Bitrix24.
It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.
Removing the Software stops it from accessing your Bitrix24 and cancels its event subscriptions. It does not by itself delete data already held in your Aelo account; deletion is described in the Privacy Policy for the application.
10. Governing Law
This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of Spain.
Disputes shall first be addressed through negotiation for 30 days. If negotiation fails, they shall be submitted to the courts of Madrid, Spain — except where mandatory law grants you the right to bring proceedings before the courts of your own place of residence or establishment, and except for disputes concerning data protection, where your local courts have jurisdiction. This mirrors Section 14 of the Terms of Service.
